  5. QUARTERDECK END USER LICENSE AGREEMENT
  6.

  8. NOTICE TO END USER:  CAREFULLY READ THE FOLLOWING LEGAL AGREEMENT.  USE OF 
  9. THE SOFTWARE PROVIDED WITH THIS AGREEMENT (THE "SOFTWARE") CONSTITUTES YOUR 
  10. ACCEPTANCE OF THESE TERMS. IF YOU DO NOT AGREE TO THE TERMS OF THIS 
  11. AGREEMENT, PROMPTLY RETURN THE SOFTWARE AND THE ACCOMPANYING ITEMS 
  12. (INCLUDING WRITTEN MATERIALS, BINDERS AND CONTAINERS) TO THE LOCATION WHERE 
  13. YOU OBTAINED THEM FOR A FULL REFUND.

  15. 1. License Grant.  Quarterdeck Office Systems grants to you (either as an 
  16. individual or entity) a nonexclusive license: (i) to use the SOFTWARE on 
  17. any single personal computer system (whether a standard computer or a 
  18. workstation component of a multi-user network); and (ii) copy the SOFTWARE 
  19. solely for the purpose of installing it on your computer(hard disk or other 
  20. device), loading the SOFTWARE into RAM or creating a backup or archival 
  21. copy.  You may not copy the written materials accompanying the SOFTWARE.  
  22. This Agreement is effective until the year 2040.

  24. 2. Copyright.  The SOFTWARE is owned by Quarterdeck or its suppliers and 
  25. title remains in Quarterdeck or its suppliers. The SOFTWARE is protected by 
  26. United States copyright laws and international treaty provisions.
  27.  
  28. 3. Other Restrictions.  This Agreement is your proof of license to use the 
  29. SOFTWARE in accordance with these terms and must be retained by you.  You 
  30. may not rent or lease the SOFTWARE, but you may assign your rights under 
  31. this Agreement on a permanent basis provided you transfer this Agreement, 
  32. the SOFTWARE and all accompanying written materials, retain no copies and 
  33. the recipient agrees to the terms of this Agreement.  YOU MAY NOT MODIFY, 
  34. REVERSE ENGINEER, DECOMPILE, OR DISASSEMBLE THE SOFTWARE.

  36. 4. Limited Warranty.  Quarterdeck warrants that the SOFTWARE will perform 
  37. substantially in accordance with the accompanying written materials and 
  38. that the printed materials and diskettes are free from any physical defects 
  39. for a period of ninety (90) days from the date of purchase.  Any implied 
  40. warranties on the SOFTWARE, printed materials or diskettes are limited to 
  41. ninety (90) days.

  43. 5. Customer Remedies.  Quarterdeck's entire liability and your sole and 
  44. exclusive remedy shall be, at Quarterdeck's option, either to (a) correct 
  45. the error, (b) help the end user work around or avoid the error or (c) 
  46. authorize a refund, so long as the SOFTWARE, printed materials or diskettes 
  47. are returned to Quarterdeck with a copy of your receipt.  This Limited 
  48. Warranty is void if failure of the SOFTWARE has resulted from accident, 
  49. abuse, or misapplication.  Any replacement SOFTWARE will be warranted for 
  50. the remainder of the original warranty period.

  52. 6. No Other Warranties.  QUARTERDECK DOES NOT WARRANT THAT THE QUARTERDECK 
  53. SOFTWARE IS ERROR FREE.  QUARTERDECK DISCLAIMS ALL OTHER WARRANTIES, EITHER 
  54. EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF 
  55. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OF 
  56. THIRD PARTY RIGHTS WITH RESPECT TO THE SOFTWARE, THE ACCOMPANYING WRITTEN 
  57. MATERIALS OR DISKETTES.  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF 
  58. IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY MAY LAST, 
  59. OR THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO 
  60. THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.  THIS WARRANTY 
  61. GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH 
  62. VARY FROM JURISDICTION TO JURISDICTION.

  64. 7. Severability.  In the event of invalidity of any provision of this 
  65. Agreement, the parties agree that such invalidity shall not affect the 
  66. validity of the remaining portions of this Agreement.  The United Nations 
  67. Convention on Contracts for the International Sale of Goods is specifically 
  68. disclaimed.

  70. 8. No Liability for Consequential Damages.  IN NO EVENT SHALL QUARTERDECK 
  71. BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL OR INDIRECT 
  72. DAMAGES OF ANY KIND ARISING OUT OF THE USE OF THE QUARTERDECK SOFTWARE, 
  73. EVEN IF QUARTERDECK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  
  74. IN NO EVENT WILL QUARTERDECK'S LIABILITY FOR ANY CLAIM, WHETHER IN 
  75. CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY, EXCEED THE LICENSE FEE 
  76. PAID BY YOU.
  77.  
  78. 9. Entire Agreement.  This is the entire agreement between you and 
  79. Quarterdeck which supersedes any prior agreement, whether written or oral, 
  80. relating to the subject matter of this Agreement.

  82.              U.S. GOVERNMENT RESTRICTED RIGHTS
  83.  
  84. If this product is acquired under the terms of a: DoD contract: Use, 
  85. duplication or disclosure by the Government is subject to restrictions as 
  86. set forth in subparagraph (c)(1)(ii) of 252.227-7013.  Civilian agency 
  87. contract: Use, reproduction or disclosure is subject to 52.227-19 (a) 
  88. through (d) and restrictions set forth in the accompanying end user 
  89. agreement.  Unpublished-rights reserved under the copyright laws of the

  93. This Agreement is governed by the laws of the State of California.
